Terms of Service

These Terms of Service (“Terms”) govern your use of Nota, the Nota website, and related services operated by Chipp Studio OÜ (“Chipp Studio”, “we”, “us”, or “our”).

By downloading, accessing, or using Nota, you agree to these Terms. If you do not agree, do not use Nota.

The Service

Nota is a private AI audio notes app for recording, importing, transcribing, summarizing, organizing, and searching notes. Nota may include local processing, optional cloud AI processing, Smart Notes, assistant features, iCloud sync, subscriptions, and AI Credits.

Nota does not require a Nota account for the core app experience. Some features depend on Apple services, App Store purchases, iCloud, device capabilities, internet access, or third-party AI providers.

Your Content

You are responsible for the recordings, notes, transcripts, prompts, and other content you create, import, process, or store in Nota (“Your Content”).

You keep your rights to Your Content. You grant us the limited permission needed to operate Nota and provide features you choose to use, such as processing a recording, generating a summary, syncing through supported services, responding to support requests, or using optional cloud AI processing.

You must have the rights and permissions needed to record, import, process, or share Your Content. Laws about recording conversations vary by location. You are responsible for getting any consent required before recording or processing conversations.

Subscriptions, AI Credits, And Purchases

Nota may offer free features, paid subscriptions, AI Credits, trials, promotional offers, or one-time purchases.

Subscriptions and purchases are handled through the Apple App Store. Apple processes payments, renewals, cancellations, refunds, and payment details according to Apple’s terms. Subscription plans renew automatically unless cancelled through your Apple account or App Store subscription settings before the renewal date.

AI Credits may be used for cloud AI features. Credits may be consumed based on the feature, model, recording length, or processing requirements. Credits have no cash value, are not a bank account or stored-value product, and are not transferable except where required by law or expressly supported by Nota.

Prices, plan names, subscription durations, included credits, and feature availability may vary by country, platform, App Store storefront, device, and app version. The App Store listing and in-app purchase screen show the current price and purchase terms for your region.

Cancellations And Refunds

You can manage or cancel App Store subscriptions through your Apple account. Deleting Nota does not automatically cancel an active subscription.

Refund requests are handled by Apple unless applicable law requires otherwise. We do not receive your full payment card details and cannot directly reverse App Store charges outside Apple’s process.

AI Features And Output

Nota may generate transcripts, summaries, action points, key moments, Smart Notes, assistant responses, and other AI output.

AI output may be incomplete, inaccurate, outdated, or misleading. You should review important output before relying on it, sharing it, or making decisions based on it. Nota is not a substitute for professional, legal, medical, financial, or emergency advice.

Cloud AI features may send relevant content to third-party AI providers, as described in our Privacy Policy. Do not use Nota to process content you are not allowed to send to those providers.

Acceptable Use

You agree not to use Nota to:

• violate any law or the rights of another person;
• record or process conversations without required consent;
• upload, create, or share unlawful, harmful, abusive, or infringing content;
• interfere with, reverse engineer, overload, or misuse Nota or related services;
• attempt to bypass subscriptions, AI Credits, technical limits, security measures, or App Store purchase systems;
• use Nota in a way that could harm Chipp Studio, other users, third-party providers, or the operation of the service.

Third-Party Services

Nota may rely on third-party services, including Apple, iCloud, OpenAI, TelemetryDeck, Amplitude, and hosting or infrastructure providers. Third-party services are governed by their own terms and privacy policies.

We are not responsible for third-party services, outages, policy changes, or data handling outside our control.

Intellectual Property

Nota, including the app, website, design, software, branding, features, text, graphics, and other materials, is owned by Chipp Studio OÜ or its licensors and is protected by intellectual property laws.

These Terms do not give you ownership of Nota or permission to use Nota’s name, branding, or materials except as needed to use the app normally.

Changes To Nota

We may update, change, suspend, or discontinue parts of Nota at any time. Features may vary by platform, device, app version, subscription status, region, or provider availability.

We try to keep Nota reliable, but we do not guarantee that every feature will always be available, error-free, secure, or compatible with every device or operating system version.

Termination

You may stop using Nota at any time. We may suspend or restrict access to features if you violate these Terms, misuse the service, create legal risk, or attempt to bypass payment or technical limits.

Sections that by their nature should survive termination will continue to apply, including terms about ownership, disclaimers, limitation of liability, and governing law.

Disclaimer

Nota is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

Nothing in these Terms limits rights that cannot be limited under applicable consumer protection law.

Limitation Of Liability

To the fullest extent permitted by law, Chipp Studio OÜ and its directors, employees, contractors, partners, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, use, or other intangible losses arising from or related to Nota.

Our total liability for any claim related to Nota will be limited to the amount you paid for Nota in the 12 months before the event giving rise to the claim, or 50 EUR if you paid nothing, except where applicable law requires a different amount.

Governing Law

These Terms are governed by the laws of Estonia, without regard to conflict-of-law rules. If you are a consumer in the European Union or another jurisdiction with mandatory consumer protection rights, you may also have the protection of mandatory laws in your country of residence.

Changes To These Terms

We may update these Terms from time to time. When we make changes, we will update the “Last updated” date above. If a change is material, we will try to provide reasonable notice when practical.

Your continued use of Nota after updated Terms take effect means you accept the updated Terms.
